Right of Withdrawal (EU/EEA/UK/Swiss Residents)

If you reside in the EU, EEA, UK, or Switzerland, you have a 14-day legal right to cancel a contract without stating a reason or incurring fees. Right of Withdrawal does not apply to IAP (In App Purchases).

To exercise this right, inform us via email before the 14-day period expires. Standard model forms may be used but are not mandatory.

If valid, we will refund all received payments within 14 days of receiving your cancellation notice using your original payment method, free of extra processing fees.

By subscribing, you expressly consent to immediate access to digital content during the 14-day window and acknowledge losing your withdrawal rights once performance begins, you forfeit the right to a full refund for digital content (unless defective). For ongoing digital services, you remain entitled to a proportional refund.

6.9 Virtual Credits & Expiration

Purchases & License: You may purchase virtual credits ("Credits") for use within the App to unlock specific features, customized companion attributes, or call durations. Credits represent a limited, non-transferable, revocable license to access specific software features and have no monetary or cash value outside of the app.

Expiration Period: All purchased or promotional Credits automatically expire six (6) months (180 days) from the date they are issued or credited to your account balance. Unused Credits remaining after six (6) months will be forfeited without refund or compensation.

7.4 Specific Restrictions: Users must not:

8. Disclaimer of Warranties

The platform, materials, and features are delivered strictly "as is" and "as available." We reject all warranties, express or implied, including merchantability, title, non-infringement, and fitness for a specific purpose. We do not guarantee that the software will operate continuously, securely, error-free, without viruses, or yield specific target outcomes.

9. Limitation of Liability

9.1 Consequential Damages: We (and our affiliates) will not be liable for lost profits or indirect, consequential, punitive, or special damages arising from platform usage, even if warned of such possibilities. Accessing external ads or uploading user data is done at your own risk.

9.2 Liability Cap: Our maximum aggregate liability for any claims related to the platform is strictly capped at the total fees you paid to us for the Service.

9.3 Jurisdictional Exceptions: Certain regional laws do not allow exclusions on incidental or consequential damages; portions of these limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its subsidiaries, officers, employees, and agents from any third-party claims, liabilities, or legal costs arising out of: (i) your platform usage, (ii) your User Content, or (iii) your violation of these Terms. We reserve the right to control the defense of any indemnified matter at your expense, and you agree not to settle claims without our prior written approval.

11. International Usage

We make no representations that the Service is lawful or available outside the United Kingdom or our target operating regions. If you access the platform from other jurisdictions, you do so on your own initiative and bear full responsibility for local law compliance.

12. Mandatory Binding Arbitration and Class Action Waiver

12.1 Binding Arbitration: Disputes must be resolved through final, confidential arbitration rather than court litigation, waiving rights to a jury trial or formal court appeal.

12.2 Class Action Waiver: You agree to handle claims strictly on an individual basis, waiving rights to initiate or join class actions, collective proceedings, or representative suits.

12.3 Scope: All disputes connected to these Terms, the platform, or Privacy Policy fall under mandatory arbitration (excepting qualifying small claims court actions or prohibited regions).

12.4 Process: Arbitration uses a neutral arbitrator instead of a judge, offering streamlined procedures and faster resolution.

12.5 Notice of Intent: Prior to initiating arbitration, a formal written Notice detailing the dispute and requested remedy must be sent via tracked international courier or email to 35, Holmesland Drive, Botley, Southampton, United Kingdom. Parties have 30 days to attempt an informal resolution.

12.6 Administrator: Proceedings will be managed exclusively by the London Court of International Arbitration (LCIA) under its Commercial Rules.

12.7 Fees: A copy of the formal demand must be sent to our notice address within 7 days of filing. Unless your claim exceeds £1,000 or is deemed frivolous, we will reimburse mandatory AAA filing fees upon receipt.

12.8 Hearing Format: Proceedings will be conducted in English by a single arbitrator based in London, United Kingdom. Hearings will occur virtually or through written submissions without requiring personal court appearances.

12.9 Invalidity Clause: If the class action prohibition in Section 12.9 is deemed unenforceable in a specific dispute, the entirety of this arbitration section becomes void.

12.10 Authority: The arbitrator holds exclusive authority to interpret the scope, validity, and enforceability of this arbitration clause and contract.

12.11 Final Rulings: Arbitrators will aim to issue written decisions within 120 days. Proceedings remain strictly confidential. The Arbitration Act 1996 (as amended by the Arbitration Act 2025) governs the construction and enforcement of this section.

12.12 Intellectual Property Claims: Either party may seek court-issued injunctive relief exclusively to safeguard patents, trademarks, or copyrights. Monetary damages remain your sole remedy for standard platform or contractual breaches.

12.13 Time Limitation: Any legal claim linked to these Terms, the Privacy Policy, or the Service (excluding indemnity claims) must be submitted to the LCIA or a small claims court in London, United Kingdom within one 6 months of the incident occurring. Failing to file within this 6-month period—which includes the 30-day informal resolution window detailed in sub-clause 12.5—permanently forfeits your right to bring the action.

12.14 Improper Claims & Legal Fees: All legal actions against the Company must adhere strictly to Section 12. Any proceeding initiated outside these rules is considered invalid. If you submit an invalid claim and fail to promptly retract it after receiving written notice from us, the Company may recover all associated legal expenses and attorney fees from you.

12.15 Rejection of Amendments: Should we make significant changes to this arbitration section (excluding simple updates to the Arbitration Notice Address), you may refuse the changes by delivering written notice within 30 days of the revision. Refusing a change requires you to stop using the Service immediately, and the pre-amendment arbitration terms will continue to apply.

12.16 Severability: If clause 12.9 (the class action waiver) or Section 12 in its entirety is deemed legally unenforceable, Section 12 becomes completely void. In that event, all disputes will fall under the exclusive jurisdiction outlined in Section 13.

12.17 Waiver of Court Rights: You acknowledge that you are giving up your rights to a court trial, a decision by a judge or jury, and participation in class-action lawsuits. You agree that all disputes will be determined individually through final, binding, and confidential arbitration.

12.18 Opt-Out Procedure: You have 30 days from your initial use (or attempted use) of the Service to opt out of mandatory arbitration. To do so, send a signed written notice containing sufficient identification details to support@myradiant.ai or our official Arbitration Notice Address. Requests sent after 30 days are invalid, and binding arbitration will remain mandatory.

13. Governing Law & Jurisdiction

13.1 Choice of Law: These Terms and your platform usage are governed by the laws of England and Wales, without giving effect to conflicts-of-law principles.

13.2 Exclusive Judicial Venues: For any dispute permitted to proceed in court rather than arbitration, you irrevocably consent to the exclusive jurisdiction and venue of:

Courts located in London, United Kingdom.

You waive any defense regarding improper venue or inconvenient forums in these courts.

19. Content Oversight & Dispute Resolution Framework

At Myradiant.ai, user protection and strict material compliance are fundamental priorities. This section explains how content is generated on our platform and details the step-by-step procedures for lodging and handling user complaints.

19.1 Pre-Tested and Controlled Content Standards

Our platform operates using vetted prompt categories that undergo extensive preliminary testing by our internal prompt engineering team. These options are carefully chosen to offer variety while ensuring complete alignment with our safety guidelines and operational policies.

19.2 Structured Generation Limits

Users cannot upload external media onto the Myradiant.ai platform except for images. System generation is restricted to these pre-approved thematic boundaries, ensuring that all output remains safe, compliant, and within allowed parameters.

19.3 Quality Control & Vetting

Prior to launching any new prompt category, our engineering team performs thorough compliance reviews to verify its lawfulness, safety, and suitability. We enforce these rigorous quality checks to maintain high platform standards.

19.4 User Obligations

Members must adhere to all platform rules when utilizing available categories. Attempting to bypass these safeguards or generate prohibited media constitutes a direct breach of our Terms.

19.5 Violation Reporting & Enforcement

We actively investigate reports of non-compliant system outputs. If you encounter media that breaches our guidelines, report it to our support staff for review. Confirmed violations will result in prompt corrective action.

19.6 Policy Updates

We reserve the right to amend this policy at any time. Any revisions take effect immediately upon being published to the website.

If you are dissatisfied with the initial resolution, you may submit a formal request for appeal to support@myradiant.ai explaining your objections. The matter will be re-evaluated by an independent manager or team not involved in the original decision, and you will receive a final determination in writing.

Our dedicated support system handles all inquiries professionally, confidentially, and objectively to ensure user issues are addressed thoroughly.
